Tender description

Following publication of an OJEU notice and use of the negotiated procedure in 2014/15, whg identified a business and delivery partner and entered into two framework arrangements to promote an energy saving initiative. A new contractor (Surefire Management Services Limited) has succeeded that partner and whg is to enter into a deed of novation with the new contractor to reflect the change in circumstances 10 days after the publication of this notice. Whg identified a requirement for subsidised retrofit works for its housing stock and a business opportunity to provide retrofit to privately owned buildings. It advertised for a business and delivery partner to fulfil these requirements in OJEU contract notice 2012/S 200-328768. This contract notice advertised an opportunity to enter into framework arrangements and the procurement was carried out using the negotiated procedure. The framework arrangements were advertised as being available to be used by other contracting authorities, the details of which were specified in the notice. On 7.3.2014, whg's subsidiary, whg Trading Company Limited entered into the advertised frameworks with British Gas Trading Limited. This arrangement continued until British Gas Trading Limited undertook a corporate restructuring. Subsequently, Surefire Management Services Limited has succeeded into the position of the initial contractor. whg is proposing to enter into a deed of novation together with British Gas Trading Limited and Surefire Management Services Limited in order to reflect the change in circumstances. As such, a novation will not be a substantive change and is permitted by Regulation 72(1)(d)(ii) of the Public Contracts Regulations 2015 (Regulations). whg therefore considers that prior publication of a contract notice is not required by Part 2 of the Regulations and have therefore not issued an OJEU contract notice in respect of such novation.
