Tender description

2.1. CVG intends to enter into a Measure Term Contract (MTC) with up to three suitably qualified and experienced law firms, appointed across the three Lots detailed below. The Contract will be for an initial three (3) year period, with the option to extend for up to two further single year periods at the discretion of CVG Lot 1: Procurement, Construction, Acquisitions, Development, Compliance and Property Conveyancing The provision of general legal advice relating to services provided by Registered Social Landlords in this Lot. Work and advice related to procurement and contract issues. Conveyancing work and advice in dealing with related issues. Transfer of new build housing developments to other housing providers. Property law including acquisitions, disposals, large scale regeneration and development projects. Construction law including construction and engineering contracts, design and build/traditional construction contracts, collateral warranties, professional appointments and performance security measures, adjudication and other alternative dispute resolution proceedings. Environmental and planning law as required. Litigation support for all of the above. Commercial contracts including contracts for supply of goods and services across Group and ad hoc contract law queries. Information Technology (IT) including IT goods and services contracts; website agreements. IT and technology service level agreements. Any other relevant Legal requirements Lot 2: Housing and Estate Management, including Factoring and Mid-Market Properties. Advice and work on related matters, including breach of tenancy, legal access to properties, Housing Management policies, alternative tenures/models. The provision of general legal advice relating to services provided by Registered Social Landlords in this Lot. Advice on complaints management involving bodies such as SPSO, HOHP, PRHP, etc. Court work, including raising court actions for tenancy breach and defending actions raised against CVG or CVG employees. Income recovery for current and former tenants and owners in relation to arrears, recharges and other debts owed to the Association. Service of letters or other documents (such as Notice of Proceedings in terms of the Housing Scotland Act 2001, Notices under the Housing (Scotland) Act 1988 or Private Housing (Tenancies) (Scotland) Act 2016) as required on individuals, tenants, or other parties. Executing Charges and Enforcing Decrees, including Decrees for payment and/or eviction against tenants, former tenants, commercial tenants and Decrees to enforce access to properties, as per instructions and executing other diligence as required and instructed by us. Anti-social behaviour (inc. ASBOs, interdicts and possession). Guidance on legislation on the private rented sector. Pursuing court actions raised by the Association against third parties. Preparation of Leases/Management Agreements/HMO licences. Factoring. Delivery of notices and other legal documents. Management of Sheriff Officers (as required). Evictions. Any other relevant legal documents Lot 3: Employment, Governance, Financial Management and Charity. Advice relating to Governance issues, including changes in status, structure, legislation and guidance notes. Advice and support to allow the Group to meet all legal obligations in respect of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 as amended by the Data (Use and Access) Act 2025 (the Act). Including reviewing Group policies, procedures and records to ensure that the Group can demonstrate compliance with the UK GDPR and the Act, advising upon the lawful bases upon which the Group processes data, including where individual consent is relied upon, updating privacy notices to meet the UK GDPR and the Act standards of transparency, interpreting guidance from the Information Commissioner’s Office, revising contracts to bring them in line with the current UK data protection framework, advising upon the legality of international transfers of personal data, dealing with the exercise of individual data rights including subject access, data portability, rectification and erasure and supporting the Group in the event of a personal data breach. Advice and support in relation to the fulfilment of the Groups obligations under Freedom of Information (Scotland) Act (FOISA) and the Environmental Information (Scotland) Regulations 2004 (EIRs). This may include advice on relevant exemptions/exceptions and interpretation of guidance from the Scottish Information Commissioner. Advice in relation to Group information management including how to capture, manage, store, share, preserve and deliver information appropriately and to meet all legal obligations. Subsidiary advice on Group Structure and Company Legislation Advice on related matters and issues, including alternative funding/finance. Production and assistance with regards to financial legal paperwork for large loans with lenders and with regards to financial legal paperwork to re-finance loans with lenders. Standard security work. Advice re. compliance of employment policies and practices, TUPE, dispute resolution, grievance and disciplinary issues, pensions and Settlement Agreements, Case law and good practice. Work relating to Employment Tribunals and Employment Appeals Tribunals. Any other relevant Legal requirements
