Tender description

The Association wishes to enter into a Measure Term Contract Agreement (MTCA) with a single supplier who is suitably qualified and experienced in the provision of Legal Services for the Service Areas detailed below. The MTCA for Legal Services will be for a 3-year period with the option to extend for 2 x single 1-year periods solely at the Association’s discretion. 1. General Legal, Contractual, Procurement, Construction, Acquisitions & Property Conveyancing 2. Arrears Recovery (Rent & Factoring) 3. Housing and Estate Management which includes Factoring 4. Governance, Financial Management and Charity 5. FOI & GDPR The Association wishes to enter into a MTCA with a single supplier who is suitably qualified and experienced in the provision of Legal Services for the Service Areas detailed below: 1.General Legal, Contractual, Procurement, Construction, Acquisitions & Property Conveyancing The provision of general legal advice relating to services provided by Registered Social Landlords. Site acquisitions, Deed of Condition documents, wayleave documents, grazing lets. Work and advice related to procurement and contract issues. Conveyancing work and advice in dealing with related issues. Transfer of new build housing developments from other housing providers. Sale of Shared Ownership Properties and preparation of relevant legal documents i.e. Exclusive Occupancy Agreements / Dispositions. Agreements relevant to disposals. Any other relevant legal requirements. 2.Arrears Recovery, which would include: The provision of general legal advice relating to services provided by Registered Social Landlords. Court work in relation to recovery of debt. Income recovery for current and former tenants and owners in relation to arrears, recharges and other debts owed to the Association. Delivery of notices. Management of sheriff officers. Any other legal requirements associated with arrears recovery for income maximisation. Bankruptcy (sequestration), Trust Deeds, Debt Arrangement Scheme (DAS) and advice on other schemes covered by the Accountant in Bankruptcy Agency. 3.Housing and Estate Management which includes Factoring Advice and work on related matters, including Breach of Tenancy, legal access to properties, Housing Management policies, Alternative Tenures/Models. Advice on Complaints management involving bodies such as SPSO, HOHP, PRHP etc. Court work, including raising court actions for tenancy breach and defending actions raised against the Association or the Association’s employees. Anti-social behaviour (inc. ASBOs, interdicts and possession). Pursuing court actions raised by the Association against third parties. Preparation of Leases & Management Agreements. Factoring. Delivery of notices and other legal documents (As required). Management of Sheriff Officers (As required). Evictions. And any other relevant Legal requirements. 4.Governance, Financial Management and Charity Advice relating to Governance issues, including changes in status, structure, legislation and guidance notes. Subsidiary advice on Group Structure and Company Legislation. Advice on related matters and issues, including alternative funding / finance. Production and assistance with regards to financial legal paperwork for large loans with lenders and with regards to financial legal paperwork to re- finance loans with lenders. Advice on legal documentation regarding changes to existing agreements, including but not limited to LIBOR switch documentation. Standard Security work. And any other relevant Legal requirements. 5.FOI & GDPR Annual training and updates throughout the year as required. Case by case advice for any complex request or breach.
