Tender description

Establishment of a Decentralised Energy Framework. Experience of medium to large scale decentralised energy (DE) project engineering and economics centred on heat networks supplied from combined heat and power (CHP), waste and environmental heat sources including: — in-depth knowledge of a range of DE technologies and issues, including the performance, design, control and operation of systems from fuel supply and generation to energy distribution and supply incorporating end user systems, — preparation of preliminary and detailed feasibility studies and options appraisal including: — energy load determination and evaluation, energy load consolidation and DE option assessment, — project costing, technical and preliminary financial modelling, — preparation of the technical input to and preparation of outline business cases, — understanding of financial and commercial aspects and issues for DE projects, — working in an advisory role, — expertise in relevant technology specialisms, — expertise in energy related ICT, including, but not limited to demand side management/response, SMART technologies, energy mapping. Understanding of: — the relevant national and London energy regulation and policy, — project managing individual DE projects through to market delivery. Commercial Experience in: — developing business cases and business plans for DE projects, — structuring templates for project delivery, — providing commercial advise to private and public sector clients in negotiating key agreements, — assessing different delivery vehicles and ownership structures, such as Public Private Partnership (PPP) options — Special Purpose Vehicle (SPV) and Joint Venture (JV) structures, — producing early project commercial documentation (including risk registers) and agreements, — working with financial advisors in providing guidance on possible funding sources, including maintaining relationships with banks and investment boutiques, — in-depth knowledge of energy markets, energy trading and negotiations. Financial Experience in: — providing support in developing the financial sections of business cases and business plans, — building and running energy project financial models for a range of private and public entities including Special Purpose Vehicle (SPV) and Joint Venture (JV) structures, — developing alternative entity structures, — fund structuring and developing alternative funding solutions, — leading the negotiations of funding packages with banks and other financial institutions for private, public and European structural funds, — preparing the appropriate procurement documentation to take the project to market, to include the Project Information Memorandum (PIM), — State Aid requirements in the context of funding energy projects, — providing guidance on tax and accounting, — tax strategies for various entity structures likely to be encountered during the course of this project. Experience in: — structuring commercial documentation for energy projects, in particular decentralised energy heat and power projects, — the distribution and mitigation of risk, both at the pre-operational and operational stages, — negotiation of key agreements, — advice on the relevant electricity market and regulatory systems applicable to decentralised energy projects, including matters of market access and licensing, — advising on public procurement processes and procurement options under the relevant EU regulations, — advising on the acquisition of land rights and access to highways, wayleaves and leasing arrangements and access to premises relevant to the development and operation of heat networks and heat sources, — advising on and drafting the legal structures for the introduction of loan and equity finance to projects, including energy related projects and SPVs. Experience in medium to large scale DE projects, to include: — experience as a problem solver, — knowledge of DE technology and issues, — preparation of energy strategies and energy masterplans, — providing advice and support on the permitting and planning issues, Understanding and knowledge of one or more of the following:, — financial and commercial aspects and issues for DE projects, — the relevant energy regulation, markets and policy for DE and CHP in the UK and London, — providing technical handholding support to the public sector, — co-ordinating and engaging stakeholder groups, — consumer engagement.
