Framework for use by Coventry University and any West Midlands Universities. Provide Legal services for the following: 1. Corporate/Commercial 2. Regularity/Compliance 3. Employment Law 4. Property and Construction Law 5. Funding (UK & EU) 6. Tax 7. Litigation and Dispute Resolution 8. Global Compliance Services. Advice in this area might include the following (non-exhaustive) requirements: — Company law — Joint Venture Agreements — Shareholder Agreements — Academic Collaboration Agreements — Non-Disclosure Agreements — Memoranda of Understanding — Due Diligence Reports — Offshore Arrangements — Knowledge Transfer Agreements — Sponsored Research Agreements — IP Licensing Agreements — Funding and Grant Agreements. — Regulatory issues in the education sector in all legal areas relevant to the University's operations — Legal compliance matters with regards to the provision of education — Procurement — State Aid — Data Protection Act and Freedom of Information Act. — Employment advice/contracts — Overseas employment — Secondment Agreements — Employee/consultant disputes — Settlement compromise agreements — Disability/equality claims — Overseas working — Internal policies and procedures — Whistleblowing — Grievances. — Purchase of leasehold and freehold property — Building — Design — Construction contracts — Lease agreements — Leases — Licences — Planning — Contentious property. The University may receive funding from a number of sources. Some funders (including grant bodies) e.g. Horizon 2020 will be based in the UK; others abroad. Please demonstrate capability relating to the provision of funding advice both from a UK and EU compliance perspective. Funding might have competition and/or state aid issues and you will need to demonstrate expertise in both areas. — Corporate tax — Employee/consultant tax — Charitable status tax — Intergroup operations tax — International operations tax and effect on UK tax — Subsidiaries tax. — Litigation — Pre action communications/dealings — Negotiations and tactics — Mediation — Insolvency — Debt Collection — ADR — Student disciplinary support. The University owns a number of overseas subsidiary companies and has an overseas presence through branches and staff in over 14 countries across Europe, Asia, North America and Australasia. Company secretarial services to ensure compliance with company law, including all in-country filing and other relevant company and operating requirements for the University's subsidiaries; All regulatory requirements as applicable to the University's activities in each relevant jurisdiction, with particular relevance to the higher education sector and the particular activities carried out in each jurisdiction. o Anticipation, planning and support with implementation relevant to any forthcoming regulatory changes in-country along with proactive advice to enable any organisational changes to be effected in advance.
