Tender description

The Group wishes to set up a framework to enable staff to procure legal advise in a consistent and cost effective manner. Regenda Limited (trading as Regenda Homes) is the largest stock holding entity with 2 subsidiaries; Redwing Living which focuses on shared ownership, private/market rent, commercial and outright sale. Redwing's subsidiary is McDonald Property Rentals Limited, a lettings agency in Lancashire. M&Y Maintenance and Construction Limited is a direct subsidiary of Regenda Homes and is the repairs and maintenance provider. The legal services will broadly cover Governance & Strategy, HR, Property Matters, Tenancy Matters including Leasehold, Supported Housing and Development. It is anticipated the framework will run for 3 years with a possible extension of a further 1 year. This procurement is being carried out in-line the requirements of the light touch regime. This Strategy and Governance Lot will include such issues as group structure support, merger & acquisitions, new group members or addition of vehicles such as cost sharing or other such joint ventures. It will include any work associated with such group structure changes that will include due diligence, rule changes, charity advice, stock transfers etc. Any work associated with refinancing is excluded from this tender exercise. This minimum/maximum range for this work equates to circa 172 800 — 345 600 GBP for the term of the framework but this figure is not guaranteed. It is important that tendering firms have experience of working within the sector and liaising with key stakeholder such as residents and regulatory bodies such as the Homes & Communities Agency, Financial Conduct Authority, Companies House and the Charity Commission. It is envisaged that this Lot may be awarded to 2-3 suppliers. This lot will cover those areas typically associated with a social housing provider and will include assistance/advise in extreme rent arrear cases, antisocial behaviour, gas access and other general tenancy issues such as disputes, trusteeship, mutual exchange and succession. The minimum/maximum spend of this area is circa 374 400 — 748 800 GBP for the term of the framework, however, these figures cannot be guaranteed. It is envisaged that this lot may be awarded to 2-3 suppliers. This lot includes advice and support in areas such as right to buy, right to acquire, shared ownership and licences to assign, staircasing, land acquisition and disposal, property acquisition and disposal, commercial and non residential acquisition and disposals, site purchases, property purchases, service charge disputes and queries, office leases, breaches of leases, building defects etc. This minimum/maximum range for this lot equates to circa 201 600 — 403 200 GBP for the term of the famework. However, these figures cannot be guaranteed. It is envisaged that this lot may be awarded to 2-3 suppliers. This lot will cover all advise and support usually associated with a registered provider that offers supported and sheltered accommodation and will include management agreements and support agreements and new lease arrangements. The minimum/maximum value range for this lot equates to circa 19 200 — 38 400 GBP for the term of the framework. However, these figures cannot be guaranteed. It is envisaged that this lot may be awarded to 2-3 suppliers. This is a general lot that covers areas of ad hoc advice that has been sought in the past and includes health & safety, data protection, consumer credit, general contract advise, procurement (including OJEU legislation) and media/PR advice. The minimum/maximum value range for this lot equates to circa 24 000 — 48 000 GBP. However, these figures cannot be guaranteed. It is envisaged that this lot may be awarded to 2-3 suppliers. HR matters are currently dealt with under a retention arrangement and it would be preferred for this to be continued. The retention arrangements should include a fixed annual fee paid monthly that will include initial advice on general employment matters such as support for grievances and disciplinaries, strategic input when dealing with complex issues such as reasonable adjustments and TUPE; sounding board when dealing with sensitive issues, especially those that could impact the Group's reputation; workforce development, resource planning; any employment tribunal claim not previously advised on. It should included capped fees for one and two day employment tribunal claims. It should also include policy health checks for areas such as disciplinary, grievance, capability, sickness and absence and equal opportunities. It should include access to legal updates and areas such as debt recovery advice; seminars and training for staff and bespoke training for HR staff. The minimum/maximum value range for this lot is circa 28 800 — 57 600 GBP for the term of the contract. However, these figures cannot be guaranteed. It is envisaged that this lot will be awarded to 1 supplier.
